Founding Customer Terms

These terms apply when you purchase a DraftX licence at the founding-customer rate from OpusAg Ltd, registered in England and Wales (company no. 15790886) with its registered office at 6 George House, 40 Huntingdon Street, St. Neots, Cambridgeshire, PE19 1BB ("OpusAg"). "You" means the company or organisation named at checkout.

By ticking the acceptance box at checkout and completing payment, you agree to these terms on behalf of your company and confirm you have authority to do so. These terms supplement the DraftX End User Licence Agreement (the "EULA"), which continues to apply in full; if these terms and the EULA conflict, these terms prevail.

1. What is being provided

1.1 OpusAg grants you a non-exclusive, non-transferable licence to install and use the DraftX software (the "Software") on the number of PCs purchased at checkout, for your internal business purposes only, for the term of this Agreement.

1.2 The licence covers all core DraftX features. The NestX / Lantek integration add-on is not included unless purchased separately.

2. Price — founding customer discount

2.1 The list price of DraftX is £1,000 per PC per year (excluding VAT).

2.2 As a founding customer, you pay £500 per PC for the first year — a 50% discount against list price, in recognition of the feedback and reference commitments in clause 4.

2.3 From the first renewal, the licence renews at the then-current list price (currently £1,000 per PC per year), unless either party gives notice under clause 6. OpusAg will give at least 60 days' written notice before any renewal at a changed price, and you may cancel before renewal at no cost.

2.4 Fees are paid by card through OpusAg's online checkout and renew annually as a subscription unless cancelled.

3. What OpusAg provides

3.1 Installation support — remote assistance installing and configuring the Software, including folder conventions, naming rules, branding and (if applicable) AI provider settings.

3.2 Onboarding — a guided walkthrough of the first live job for up to three users.

3.3 Support — email support at sales@opusag.co.uk with response within 1 business day. Software updates are delivered automatically via the built-in updater at no extra charge.

3.4 Uptime — the Software runs on your own machines. The only hosted dependency is the licence-validation service; brief internet outages do not interrupt use (the Software includes an offline grace period).

4. What you provide (founding customer commitments)

4.1 A reasonable opportunity to succeed: at least three live production jobs run through the Software during the first 60 days.

4.2 Feedback: reasonable availability for fortnightly check-in calls (30 minutes or less) during the first year, and honest feedback on defects, friction and missing features.

4.3 Reference: if you are satisfied with the Software, you agree to act as a reference and permit OpusAg to name your company and describe measured results in marketing materials, subject to your prior approval of the specific wording.

4.4 A named point of contact for the check-ins in clause 4.2.

4.5 SolidWorks installed on each PC running the Software's export features (your own licences).

5. Data and confidentiality

5.1 The Software runs locally. Your drawings, CAD models and job data remain on your network and are not uploaded to OpusAg.

5.2 The Software transmits licence-validation requests and, if enabled, anonymised usage metrics (feature counts and time-savings statistics). No drawing content is transmitted.

5.3 Each party's confidential information is protected by the mutual confidentiality obligations in clause 13 of the EULA, which apply from your first interaction with OpusAg and survive this Agreement.

6. Term and termination

6.1 This Agreement starts on the date of purchase and runs for an initial term of twelve (12) months, renewing annually unless either party gives at least 30 days' written notice (or you cancel the subscription) before the end of the current term.

6.2 Early-exit window. During the first 60 days, you may terminate for convenience on 14 days' written notice to sales@opusag.co.uk and receive a pro-rata refund of prepaid fees for the unused period.

6.3 Either party may terminate immediately on written notice if the other commits a material breach not remedied within 30 days of notice, or becomes insolvent.

6.4 On termination, you must stop using the Software and uninstall it. All your data remains on your own systems and needs no return or migration. Clauses 5 and 7 survive termination, together with the surviving clauses of the EULA.

7. Warranties and liability

7.1 OpusAg warrants it has the right to license the Software and will provide support with reasonable skill and care. The warranty and liability provisions of the EULA (clauses 9 and 10) otherwise apply.

7.2 You remain responsible for reviewing and approving all drawings, DXFs and job documentation before releasing them to production. The Software assists that process; it does not replace your own quality-control sign-off.

8. General

8.1 Neither party may assign this Agreement without the other's written consent.

8.2 This Agreement (with the EULA and the Privacy Policy) is the entire agreement between the parties on its subject matter.

8.3 This Agreement is governed by the laws of England and Wales; the parties submit to the exclusive jurisdiction of its courts.

Acceptance of these terms is recorded by our payment provider (Stripe) at checkout, together with the date, time and account details of the purchase. That record constitutes the agreement between us — no counter-signature is required. If you prefer a countersigned copy, email sales@opusag.co.uk and we will provide one.
